Accreditation

Branches and representative offices must be accredited with Russian state bodies authorized to grant such accreditation. Usually, these authorities include the State Registration Chamber at the Ministry of Justice of the Russian Federation, the Chamber of Commerce and Industry.

Accreditation means obtaining a permission from a government authority to establish a representative office (or a branch) of a foreign company in Russia. Accreditation provides an official status for the company and allows it to carry on commercial operations in Russia. Besides that, accreditation grants the company a right for visa support from the Ministry of Foreign Affairs. This means that invitations and long-term visas are granted for expatriate employees of the representative office, as well as for their family members.

The accreditation is granted for the term of 1, 2 or 3 years and, if necessary, it may be extended.

The documents required from a foreign company to accredit its representative office in Russia are as follows:

  • An application of the company for accreditation (WE WILL PROVIDE YOUR WITH SPECIFIC WORDING OF THE APPLICATION IN ENGLISH AND RUSSIAN)
  • The Certificate of Incorporation (or extract from the trade register of the foreign legal entity certifying that the parent is a validly existing legal entity under the legislation of its home country)
  • The Charter or Memorandum&Articles of Incorporation (articles of association, or equivalent) of the foreign legal entity
  • A resolution of the company to establish a representative office / branch in Russia and to appoint the chief representative (WE WILL PROVIDE YOU WITH DRAFT CONTAINING SPECIFIC WORDING IN ENGLISH AND RUSSIAN)
  • A bank letter confirming the good credit standing of the foreign legal entity
  • Notarized copy of General Power of Attorney issued to the chief representative (WE WILL PROVIDE YOU WITH DRAFT POWER OF ATTORNEY)
  • Notarized copy of Power of Attorney for filing the application for accreditation on behalf of the foreign legal entity
  • The regulations which will govern the operation of the representative office (WE WILL PROVIDE YOU WITH DRAFT IN ENGLISH AND RUSSIAN)
  • The Accreditation Card containing information on the representative office, filled out in accordance with a sample form of a particular accrediting body and signed by an authorized representative of the foreign legal entity (WE WILL FILL IN THE ACCREDITATION CARD ACCORDING TO REQUIREMENTS)
  • Two letters of recommendation from Russian trading partners (preferably Government bodies, social organizations, or 100% Russian-owned entities) on the official letterhead of the recommending organization (WE WILL PROVIDE YOU WITH THE WORDING / RECOMMENDATIONS);
  • Certification from the tax authorities in the country of the foreign legal entity's incorporation confirming that the foreign legal entity is registered as a taxpayer and specifying the taxpayer identification code;
  • A document that confirms representative office legal address in Russia. A copy of a lease agreement or landlord guarantee letter, together with confirmation of the landlord's right to the property to be leased by the representative office (WE WILL ASSIST IN OBTAINING THE OFFICIAL ADDRESS AND DOCUMENTS PROVING IT - IF NECESSARY)

All documents from a foreign legal entity must be specifically certified. That is, they should be either apostilled by a government authority in the country of origin, or legalized by the Russian consulate or embassy, also in the country of origin of the company. For either of the two, the documents are normally required to be certified by that country's notary first. ("Apostille" is an internationally accepted form of certification prescribed by the Hague Convention of 1961, which Russia is a party to.) The documents should be further furnished with a Russian translation, which should be certified (usually by a Russian notary).

The state accreditation fees should be paid at this point. Those depend on the term the representative office is accredited for (US$1,000-2,500 for 1-3 years). The procedure of accreditation normally takes 21 working days, though acceleration to 7 days is possible at US$500 in extra costs. (The quoted fees are those of the State Registration Chamber.)

On obtaining the permission for establishing a representative office or a branch - that is, on accreditation - the company may apply for personal accreditation of its expatriate personnel in Russia (by default, up to 5 persons) and their family members, which grants them a right for the visa support.

Tax registration

On being accredited, a representative office (or a branch) must be registered with a relevant tax authority at the place where a representative office (or a branch) is located. For tax registration, the following documents are required.

  • An application of the company for registration (TO BE FILLED OUT BY YOUR SPECIALISTS AND SIGNED BY REPRESENTATIVE OF YOUR COMPANY EMPOWERED BY POWER OF ATTORNEY);
  • The Certificate of Incorporation (or extract from the trade register of the foreign legal entity);
  • Certification from the tax authorities in the country of the foreign legal entity's incorporation confirming that the foreign legal entity is registered as a taxpayer and specifying the taxpayer identification code;
  • A resolution of the company to establish a representative office/ branch in Russia and to appoint the chief representative/ Director of a branch office (WE WILL PROVIDE THE WORDING);
  • General Power of Attorney issued to the chief representative/ Director of a branch office (WE WILL PROVIDE THE WORDING);

The procedure of tax registration officially takes 5 working days, though delays are unfortunately possible.

Besides the above, a representative office (or a branch) must be registered with various other government agencies, such as the Pension Fund of Russia, the Social Security Fund, the Fund of Obligatory Medical Insurance, and the Federal State Statistics Service. This may take another week or two.
